Terms & Conditions

PRICING: AV Strategy, Inc. standard pricing shall apply to all equipment unless otherwise negotiated in advance. Trade discounts may apply and are based on relationship and are applied on the understanding that invoices will be paid by the due date.

PAYMENT TERMS: Payment is expected in accordance with the negotiated payment terms for the individual customer, as presented by AV Strategy, Inc. on the invoice.

LIABILITY: Upon acceptance of equipment customer acknowledges responsibilty for loss, theft or damage from any cause what-so-ever incurred while in possession of any rental equipment during the term of this contract.

Customer will be billed for the actual replacement costs incurred by AV Strategy, Inc. for replacement cost of equipment or repairs, including parts, labor, accessories and loss of use.

Failure to return equipment in accordance with contract terms will result in additional charges.

PROPERTY USE: It is understood and agreed that Customer understands how to operate equipment and is responsible for notifying AV Strategy, Inc. during the rental term of any equipment malfunctioning or related operational problems or issues.

Property is assumed to be delivered in working condition.

INSURANCE REQUIREMENTS: Customer shall, at their expense, and at all times during the rental, maintain in full force and effect insurance covering all equipment rented, from all sources, for full replacement cost, and for loss of use of the equipment. Coverage must begin no later then the time you or your agents accept delivery of the equipment and continue until the time the equipment is returned to AV Strategy, Inc. You shall deliver to AV Strategy, Inc. upon request, evidence of the insurance coverage, typically a Certificate-of-Insurance of Insurance satisfactory to AV Strategy, Inc. showing Liability Coverage, Property Insurance and Workers Compensation Insurance, prior to taking possession of equipment. AV Strategy, Inc. maintains the opportunity to approve or disapprove the client's insurance company. Additional insurance is required for international rentals.

PROPERTY INSURANCE: Shall name AV Strategy, Inc. as Additional Insured and Loss Payee for loss or damage to the property rented; shall cover "All Risks" of the loss or damage for equipment and include "REPLACEMENT COST." Limits shall be sufficient to encompass all property at risk, regardless of source.

LIABILITY INSURANCE: AV Strategy, Inc. must be named as an additional insured on your liability insurance and your liability insurance shall be deemed primary and non contributory insurance in the event of any claim or suit. Minimum limits for General Liability are: $1,000,000 per occurrence & $2,000,000 annual aggregate.

TITLE & OWNERSHIP: Customer specifically acknowledges AV Strategy, Inc. as the superior title and ownership of the equipment and must keep the equipment free of liens, levies and encumbrances. You may not assign or pledge the equipment.

INDEMNIFICATION: Customer agrees to indemnify AV Strategy, Inc. and to hold AV Strategy, Inc. and its employees and agents harmless from and against any and all losses, damages, claims, demand or liability of any kind or nature what-so-ever, including legal expenses, arising from the use, condition (including, without limitation, latent and or other defects) or operation of the equipment, and by who-so-ever used or operated during the rental term. This indemnification shall continue in full force and effect during and after the term of the rental for causes arising during the term of the rental.

RIGHT TO INSPECTION: AV Strategy, Inc. reserves the right to inspect or examine the use of all rented equipment at anytime during the rental term.

AGREEMENT TO TERMS: By accepting receipt of products and/or services delivered by AV Strategy, Inc. customer agrees to all AV Strategy, Inc. terms & conditions.

PLACE OF APPLICABLE LAW: All Parties agree that this agreement shall be governed in accordance with the laws of the State of Florida, and any legal action will take place in Orange County in the State of Florida.
